These Terms + Conditions (“Terms”) govern your access to and use of the Site, including any content, features, or services offered through it. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Subject to your compliance with these Terms, PDHI grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Content for personal, non-commercial use.

  1. User-Generated Content
    If you submit content to the Site (e.g., through contact forms, comments, or other interactive features), you grant PDHI a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, reproduce, distribute, modify, and display that content for purposes related to operating, promoting, or improving the Site. PDHI’s total liability for any claim arising from these Terms or your use of the Site will not exceed $100 USD. These limitations apply regardless of the legal theory (e.g., contract, tort, or statute) and even if PDHI was advised of the possibility of such damages.

  1. Indemnification
    You agree to indemnify, defend, and hold harmless PDHI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from:
    1. Your use of the Site.
    2. Your violation of these Terms.
    3. Your violation of any third-party rights, including intellectual property or privacy rights.
    4. Any content you submit to the Site.

  2. Termination
    PDHI may, at its sole discretion, suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if you violate these Terms. Upon termination, your right to use the Site will cease, but any provisions of these Terms that by their nature should survive (e.g., intellectual property, limitation of liability, indemnification) will remain in effect.

  3. Governing Law and Dispute Resolution
    These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Site will be resolved through binding arbitration in North Brunswick, New Jersey, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

    If arbitration is not permitted by law, disputes will be resolved exclusively in the state or federal courts located in Middlesex County, New Jersey, and you consent to their jurisdiction.

  4. International Users
    The Site is hosted in the United States and intended for U.S. users. If you access the Site from outside the U.S., you do so at your own risk and are responsible for complying with local laws. PDHI makes no representation that the Site or its Content is appropriate or available for use in other jurisdictions.

  5. ConXus® Platform
    These Terms do not apply to the ConXus® Platform, which is governed by separate terms and conditions.

  6. Changes to These Terms
    PDHI may update these Terms at any time by posting the revised version on the Site with a new effective date. Changes will apply to your use of the Site after the effective date. We encourage you to review these Terms periodically. Continued use of the Site after changes constitutes your acceptance of the updated Terms.

  2. Miscellaneous

    2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
    3. Waiver: PDHI’s failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
    4. Assignment: You may not assign your rights or obligations under these Terms without PDHI’s prior written consent. PDHI may assign its rights and obligations at any time.
